TERMS AND CONDITIONS

(Terms of Service)

These Terms and Conditions (the “Terms”) govern access to and use of the Asikaso web application and any related websites, services, integrations, documentation, and materials (collectively, the “Service”) provided by ASI.COM.PH INC, doing business as “Asikaso” (“Asikaso,” “we,” “us,” or “our”). By accessing or using the Service, you (“you,” “your,” or the “User”) acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are using the Service on behalf of an entity, you represent and warrant that you are authorized to bind that entity, in which case “you” and “your” refer to that entity. If you do not agree to these Terms, do not access or use the Service.

I. Definitions and Interpretation

1.1 Definitions. In these Terms:

Account means a registered profile enabling access to and use of the Service.
Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
Authorized User means any individual you authorize to access the Service under your Account.
Content means all data, files, documents, images, records, messages, and other materials uploaded, submitted, transmitted, or otherwise made available in or through the Service by you or on your behalf.
Order Form means any online checkout, in‑app subscription screen, or written order specifying plan details, term, and pricing (if applicable).
Personal Data means information relating to an identified or identifiable natural person, processed in accordance with the Privacy Policy.
Third‑Party Platform means any service not provided by Asikaso that interoperates with, or is used in connection with, the Service (e.g., hosting providers, analytics tools, social networks).

1.2 Interpretation. Headings are for convenience only and do not affect interpretation. Unless the context requires otherwise, (a) the singular includes the plural and vice versa; (b) “including” means “including without limitation”; and (c) references to “law” include statutes, regulations, and orders.

II. Scope of the Service; Changes

2.1 Description. Asikaso provides workflow, records, and communications functionality designed to help Users manage requests, appointments, documents, files, and related interactions through a web‑based interface. Feature availability may vary by plan and region.
2.2 Modifications. We may enhance, modify, suspend, or discontinue features of the Service from time to time. Where a change materially reduces core functionality, we will provide reasonable advance notice via the Service or email (if you have provided one).

III. Eligibility; Account Registration and Security

3.1 Eligibility. You must be at least eighteen (18) years old and capable of forming a binding contract under applicable law.
3.2 Registration. You agree to provide accurate, current, and complete information during registration and to keep such information updated.
3.3 Credentials. You are responsible for maintaining the confidentiality of your credentials and for all activities under your Account. You must promptly notify us of any suspected unauthorized access or security incident.

IV. Your Responsibilities

4.1 Compliance. You will use the Service only in accordance with these Terms, the Privacy Policy, applicable laws and regulations of the Republic of the Philippines, and the policies of any Third‑Party Platform you connect (e.g., platform rules for messaging).
4.2 Content. You are solely responsible for (a) the accuracy, quality, legality, and appropriateness of your Content; and (b) obtaining all necessary rights and consents to submit, process, and store Content in the Service.
4.3 Acceptable Use. You will not (and will not permit others to):

send spam, unlawful solicitations, or unsolicited bulk communications;
upload or transmit malware, ransomware, or code intended to disrupt or compromise security;
infringe or violate intellectual property, privacy, or other rights;
attempt to bypass, probe, or test the vulnerability of the Service or related systems;
copy, modify, decompile, reverse engineer, or create derivative works of the Service except to the extent such restriction is prohibited by law;
use the Service for high‑risk activities where failure could result in death, personal injury, or severe property or environmental damage; or
use the Service in any manner that degrades performance or interferes with use by others.

V. Third‑Party Platforms

5.1 Integrations. The Service may interoperate with Third‑Party Platforms. Your use of such platforms is governed by their own terms and policies.
5.2 No Control. We do not control and are not responsible for Third‑Party Platforms. Availability or continued operation of an integration may depend on such third party and may change without notice.
5.3 Permissions. By enabling an integration, you authorize Asikaso to exchange, process, and store data with the relevant Third‑Party Platform as reasonably necessary to provide the integration.

VI. Privacy and Data Protection

6.1 Privacy Policy. Processing of Personal Data is governed by the Asikaso Privacy Policy, which is incorporated herein by reference.
6.2 Your Instructions. You instruct Asikaso to process Personal Data as necessary to provide, maintain, secure, and improve the Service and to comply with law.
6.3 Children. The Service is not intended for minors under eighteen (18). If you become aware that a minor has provided Personal Data without requisite consent, notify us promptly.

VII. Intellectual Property; License

7.1 Ownership. As between the parties, Asikaso owns all right, title, and interest in and to the Service (including software, designs, know‑how, and documentation) and all associated intellectual property rights. No rights are granted except as expressly set out in these Terms.
7.2 License to You. Subject to these Terms and, if applicable, timely payment of fees, Asikaso grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Service during your subscription term or access period.
7.3 Your Content. As between the parties, you retain ownership of your Content. You grant Asikaso a worldwide, royalty‑free license to host, store, reproduce, display, and process your Content solely to provide, maintain, secure, and improve the Service, and to comply with legal obligations.

VIII. Plans, Fees, and Taxes (If Applicable)

8.1 Fees. If you purchase a paid plan, fees, billing cycles, and plan‑specific terms will be stated in an Order Form or in‑app subscription flow.
8.2 Billing; Non‑Refundability. Unless otherwise specified, fees are billed in advance and are non‑refundable except as required by law. You authorize Asikaso and its payment processors to charge all amounts using your designated payment method.
8.3 Changes. We may change fees or introduce new charges upon reasonable prior notice. Changes will take effect at the start of the next billing period unless you cancel prior to that period.
8.4 Taxes. Fees are exclusive of taxes. You are responsible for value‑added tax, withholding, and other applicable taxes, excluding taxes based on Asikaso’s net income.

IX. Term; Suspension; Termination

9.1 Term. These Terms apply from your first access to the Service and continue until terminated in accordance herewith.
9.2 Cancellation. You may cancel a paid subscription at any time via the Service; cancellation is effective at the end of the then‑current billing period unless otherwise stated in the Order Form.
9.3 Suspension. We may suspend access immediately if: (a) you breach these Terms; (b) your use poses a security or operational risk; (c) required by law or by a Third‑Party Platform; or (d) fees are overdue (if applicable).
9.4 Termination for Cause. Either party may terminate these Terms upon written notice if the other party materially breaches and fails to cure within thirty (30) days after notice (ten (10) days for non‑payment, if applicable).
9.5 Effect of Termination. Upon termination, your right to access the Service ceases. We will handle your data in accordance with the Privacy Policy and any data export/deletion functionality available within the Service. Sections that by their nature should survive (including Sections 6–7, 9.5, 10–17, and 20–25) will survive termination.

X. Service Availability; Maintenance; Trials

10.1 Availability. We use commercially reasonable efforts to provide the Service. Scheduled or emergency maintenance may temporarily affect availability.
10.2 Beta/Trial Features. Any beta, evaluation, or pre‑release features are provided “as is” and may be modified or discontinued at any time.

XI. Warranties and Disclaimers

11.1 Your Warranties. You represent and warrant that: (a) you have all necessary rights and consents to submit and process Content in the Service; and (b) your use of the Service and Content will comply with these Terms and applicable law.
11.2 Asikaso Disclaimers. To the fullest extent permitted by law, the Service is provided “as is” and “as available”. Asikaso disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted or error‑free operation.

XII. Limitation of Liability

To the maximum extent permitted by law:
(a) No Indirect Damages. Asikaso will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, revenue, goodwill, data, or business interruption; and
(b) Liability Cap. Asikaso’s aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of: (i) the total fees paid by you to Asikaso for the Service in the twelve (12) months preceding the event giving rise to the claim (if any), or (ii) PHP 100,000.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

XIII. Indemnification

You will defend, indemnify, and hold harmless Asikaso and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your Content; (b) your use of the Service in violation of these Terms or law; or (c) any alleged or actual infringement or violation of third‑party rights by you or your Authorized Users.

XIV. Confidentiality

Each party may receive confidential information (“Confidential Information”) of the other. The receiving party will protect the disclosing party’s Confidential Information with at least the same degree of care it uses to protect its own information of similar sensitivity (but not less than a reasonable degree of care) and will use it solely as necessary to perform under these Terms or as required by law.

XV. Notices

Notices to Asikaso must be sent to:

We may provide notices to you via in‑app notifications, the Service interface, or the email associated with your Account. Notices are deemed given when sent (for electronic communications) or when received (for physical mail).

XVI. Governing Law; Venue

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict‑of‑laws principles. The parties submit to the exclusive jurisdiction of the proper courts of Antipolo City, Rizal for any dispute arising out of or relating to these Terms or the Service, subject to any mandatory dispute resolution provisions under applicable law.

XVII. Export Controls and Sanctions

You represent that you are not subject to sanctions or export restrictions and that you will not use the Service in violation of applicable export control or economic sanctions laws.

XVIII. Anti‑Corruption

You represent that you will not engage in any activity that would violate applicable anti‑bribery or anti‑corruption laws in connection with your use of the Service.

XVIIII. Force Majeure

Neither party will be liable for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, failures of third‑party networks or services, or utility interruptions.

XX. Assignment; Subcontracting

You may not assign or transfer these Terms, in whole or in part, without Asikaso’s prior written consent, and any attempted assignment without consent is void. Asikaso may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets and may subcontract obligations, provided Asikaso remains responsible for subcontractor performance.

XXI. Independent Contractors; No Third‑Party Beneficiaries

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship. No third party has beneficiary rights under these Terms.

XXII. Severability; Waiver

If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force. Failure to enforce any provision will not constitute a waiver of future enforcement of that or any other provision.

XXIII. Entire Agreement; Order of Precedence

These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Asikaso regarding the Service and supersede all prior or contemporaneous agreements on the subject. In case of conflict, the Order Form controls, then these Terms, then the Privacy Policy.

XXIV. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in‑app notice or email prior to taking effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
